SAB packages a deal for BEE Consortium, Nokusa

The South African Breweries Limited (SAB), a wholly owned subsidiary of SABMiller plc, today announced that it has finalised the sale of 40% of its crown (bottle top) manufacturer, Coleus Packaging (Pty) Limited (Coleus), to the Nokusa Consortium, led by Nokusa Investments (Pty) Limited, in a Black Economic Empowerment (BEE) transaction. Nokusa will be involved at a strategic level as well as an operational level and will have the right to appoint two directors to the five member board. The value of the gross assets disposed of by SAB is approximately R30 million (US$4.9 million).

Coleus, which is South Africa’s biggest producer of metal bottle closures, produces around 4.9 billion crowns per annum for the brewing and bottling industries in Southern Africa, and had a turnover of approximately R132 million (US$21.5 million), for the year to 31 March 2005. SAB acquired Coleus in 2003, in a transaction whereby SAB committed itself to both significantly improving Coleus’ manufacturing plant and to a 40% BEE transaction, within a specified timeframe.

Since 2003, SAB has invested R16 million (US$2.6 million) in improving the performance of the Coleus business, including significant investment in new equipment and training to develop local skills. Under SAB’s ownership, factory efficiencies have risen from 50% to a current average of 76%, with a record high of 80% in March this year. As part of the BEE transaction, SAB has committed to purchasing its crown supply from Coleus, cementing a positive future for the business.

This direct strategic and operational involvement sets a welcome trend in BEE transactions.”

Nokusa Investments (Pty) Ltd is an investment company led by six black entrepreneurs with extensive experience in managing large-scale businesses. The consortium also includes groups of historically disadvantaged South Africans including Shandura, which has 13 professional women beneficiaries, Izindophi Community Project, a rural women’s grouping from Kwazulu-Natal with 11 beneficiaries and the Kapano Disabled Movement with 29 members.

Coleus Packaging makes a difference to the community in the Eastern Township of Gauteng, Katlehong.

A primary school, Monde Primary has ambitions of hosting tourists, by providing accommodation, during the 2010 FIFA World Cup. Since the school opened its doors in 1995, it faced turbulent times. The township has population of approximately 500 000 people, many of the community members are unemployed. This very same community, clearly understanding the importance of education, converted a farmer’s stable and worked together to build Monde Primary, housing 29 brick classrooms and 5 informal temporary classrooms.

After an initial site inspection, Coleus was honoured to be able to provide a donation to; fill cracks, sand down the walls and paint the exterior of the school.

The school principle, Mathanyela was thrilled by the donation as they were experiencing difficulties in collecting school fees as many of the parents were unemployed and supported extended families with grants.

The Coleus team wishes Monde Primary a successful future and would like to acknowledge the teachers and the community for their hard work and dedication.

Shaun Kroutz appointed as Managing Director of Coleus

Shaun Kroutz, SAB’s Executive Assistant to Clifford Raphiri - the Technical Director, is appointed to run the packaging company which SAB has a 60% stake in, Coleus Packaging. Kroutz will be reviewing the operations to ensure that Coleus will maintain its leading role in South Africa and to look for new markets beyond our borders.

We can expect to see changes at Coleus Packing as Kroutz will most likely bring leadership in line with SAB’s model of internationally competitive productive methods.

Kroutz said that he was positive about the future of Coleus Packaging and was ready to make some bold moves.

Coleus makes key appointments preparing for growth

Coleus Packaging announced three new appointments to its management team. Sanjay Arjun to lead the Sales team, Grayson Downs to focus on Business Improvement and Quality, and Michelle Chetty to take care of the Human Resources function. The new incumbents will report directly in to the Managing Director, Shaun Kroutz.

Coleus seems to have taken a specialist approach to these appointments having attracted highly-skilled people.

Kroutz said, "We are committed to ensuring that our workforce remains diverse and that we attract leaders in their fields. I believe these new appointments will help us focus on what is core to our business; quality product, customer satisfaction, and a driven team delivering results."

Shareholders gear Coleus for growth

In order to increase capacity to 8.5 billion crowns by the end of the next financial year, shareholders have approved plans to improve manufacturing equipment and redeploy, train and replace human resources at the only South African crown manufacturer in South Africa.

Currently the manufacturer produces over 5.4 billion crowns per annum, operating at around 90% of capacity. With the increased capacity, Coleus will able to service the broader Sub-Saharan African region and cater to their international client base too. Coleus Packaging currently has approximately a 90% share of the South African crown business and also supplies to the SADC region and Ghana.

Shaun Kroutz, Managing Director of Coleus Packaging, said, "The competition from Brazil, Italy, Germany and local African suppliers is strong. However, we remain confident in our offering and we are gearing our operation to not only satisfy our existing customers but also to prepare for further Africa market penetration."

The investment in equipment will mean improvements to the coating, printing, lining and packaging stations. The workforce has been evaluated and reassigned according to key competencies and stringent standards. Coleus Packaging expects positive results from these changes and welcomes the approval of the shareholders.

Crowns can be manufactured in pry off or twist off formats, with a pvc or pvc-free liner, and printed in colour or without any colour.
